These Terms and Conditions govern your use of the Oxaver website and your purchase of services from Oxaver. By submitting a configuration request, confirming an invoice, or using our services, you agree to be bound by these terms. Please read them carefully before proceeding.
If you do not agree to these terms, you should not use our website or services.
1. Definitions
In these Terms and Conditions:
- “Oxaver” refers to the managed hosting service operated under the parent business Oxacor.
- “Client” or “you” refers to the individual or entity that purchases or uses Oxaver services.
- “Services” refers to Managed VPS Hosting, Managed WordPress Hosting, and any related add-on services provided by Oxaver.
- “Server” refers to the virtual private server provisioned and managed on your behalf.
- “Invoice” refers to the itemised billing document sent by Oxaver before or at the start of each billing cycle.
- “Add-ons” refers to optional or usage-based services such as backup storage, extra bandwidth, transactional email overages, and migration services.
2. Services
2.1 Service Description
Oxaver provides fully managed web hosting services. All servers and hosting environments are configured manually based on the requirements provided by each client. Services include server provisioning, configuration, ongoing management, monitoring, security maintenance, and support as described on the relevant service pages.
2.2 Service Commencement
Services commence once you have submitted a configuration request, received and confirmed your invoice, and payment has been received. We aim to complete setup within 1 to 2 business days of confirmed payment.
2.3 Configuration Requests
Submitting a configuration form does not constitute a purchase or create any obligation on either party. Services are only initiated after an invoice has been issued, reviewed, and confirmed by you.
2.4 Service Customisation
Oxaver configures each server and hosting environment based on the information provided in your configuration request. It is your responsibility to provide accurate and complete information. Oxaver is not liable for issues arising from incorrect or incomplete information provided by the client.
3. Billing and Payment
3.1 Invoicing
All services are billed via manual invoice. Your monthly plan fee is invoiced in advance at the start of each billing cycle. Usage-based charges, including VPS backup storage, extra CDN bandwidth, and extra transactional email usage, are calculated at the end of each month and invoiced separately.
3.2 Payment Terms
All invoices are due within 5 days of the invoice date (the grace period). Oxaver reserves the right to suspend services if payment is not received within the grace period. We will notify you before any suspension is applied.
3.3 Payment Methods
Payment methods are provided on your invoice. By confirming an invoice, you agree to pay the stated amount using the payment method specified.
3.4 Late Payment
If payment is not received within the grace period, Oxaver may suspend access to the affected services until the outstanding balance is settled. We will make reasonable efforts to contact you before any suspension.
3.5 Pricing Changes
Oxaver aims to maintain stable pricing. If a pricing change is necessary, you will be notified at least 30 days in advance. Continued use of the service after the notified effective date constitutes acceptance of the new pricing.
3.6 No Refunds
All plan fees are non-refundable unless otherwise stated in writing. If you cancel mid-month, your service will continue until the end of the current billing period and no partial refunds will be issued. Usage-based charges already incurred are not refundable.
3.7 Disputed Charges
If you believe a charge on your invoice is incorrect, you must notify us within 14 days of the invoice date. We will review the dispute in good faith and respond within a reasonable timeframe.
4. Cancellation
4.1 Cancellation by Client
You may cancel your services at any time by contacting us through the Support page. Your service will continue until the end of the current billing period. No cancellation fees apply.
4.2 Cancellation by Oxaver
Oxaver reserves the right to terminate services with reasonable notice if:
- Payment remains outstanding beyond the grace period after reasonable attempts to collect.
- You breach these Terms and Conditions in a way that cannot be remedied.
- You use the service for illegal or harmful activities.
In cases of serious breach or illegal use, Oxaver may terminate services immediately without notice.
4.3 Effect of Cancellation
Upon cancellation, you are responsible for retrieving any data or files you need before the service ends. Oxaver is not responsible for data loss after a service has been cancelled and the server decommissioned.
5. Managed VPS Hosting
5.1 Server Ownership
For Managed VPS Hosting, Oxaver provisions, pays for, and owns the server infrastructure on which your hosting environment runs. The server is sourced and maintained by Oxaver as part of the managed service. The server itself is not transferred to the client at any point and cannot be claimed by the client upon cancellation or termination of the service.
What belongs to you is your website content, application data, files, and databases hosted on that server. If you cancel your service, you are entitled to retrieve and transfer your websites and applications to another hosting environment of your choice. Oxaver will make your data available for retrieval during the notice period before the service is terminated. The server infrastructure, configuration, and associated accounts remain the property of Oxaver at all times.
5.2 Server Resources
Oxaver will notify you when your server is approaching resource limits. You are responsible for upgrading to an appropriate plan if your usage consistently exceeds your allocated resources.
5.3 Backup Add-on
Website backup for VPS hosting is an optional paid add-on, enabled per website. Two types of backup storage are available.
Built-in offsite backup uses incremental snapshots stored in Oxaver-managed offsite storage. Pricing is $0.40/GB per month for a daily schedule or $0.50/GB per month for a 12-hour schedule, with a minimum charge of $3 per site per month. Retention is up to 30 days. Because backups are incremental, storage usage stays close to the actual size of your site content.
For longer retention, backups can be configured to other external storage destination such as S3-compatible providers including iDrive, Backblaze, and Wasabi. Because each run creates a full backup rather than an incremental one, storage usage accumulates significantly with each retained snapshot. Retention can be configured up to 6 months.
Oxaver will make reasonable efforts to maintain backup integrity but does not guarantee that all backups will be error-free. You are responsible for testing your backups periodically.
5.4 Migration
WordPress site migration to VPS is a paid service. Pricing is $39 for sites up to 5GB in total size, and $39 plus $4.50 per additional GB above 5GB. Non-WordPress migrations are priced on a case by case basis. Migration services are subject to availability and Oxaver does not guarantee zero downtime during migration.
6. Managed WordPress Hosting
6.1 One Website Per Plan
Each Managed WordPress Hosting plan covers one website. If you require hosting for multiple websites, you must purchase a separate plan for each.
6.2 Included Services
Managed WordPress Hosting plans include the features listed on the relevant plan page at the time of purchase. Features may be updated from time to time and you will be notified of any material changes.
6.3 Free Migration
Free migration is included on all Managed WordPress Hosting plans, covering one website per plan. Migration is subject to the source site being a WordPress installation accessible via SFTP or cPanel. Oxaver does not guarantee zero downtime during migration.
6.4 Transactional Email
Each plan includes a monthly transactional email allowance. If you exceed your allowance, additional emails are available at $3 per 2,500 emails per month. Oxaver will notify you if you consistently exceed your plan limit. Emails are not cut off upon reaching the limit for occasional overages.
6.5 CDN and DNS
Premium CDN and DNS services are included in all Managed WordPress Hosting plans. CDN usage beyond your plan’s bandwidth allowance is billed at $0.06/GB. DNS queries beyond your plan’s query limit are billed at $0.20 per million queries.
6.6 Backup
Backup is included in all Managed WordPress Hosting plans as described on the plan page. Oxaver will make reasonable efforts to maintain backup integrity but does not guarantee that all backups will be error-free or complete. You are encouraged to test restores periodically.
6.7 WordPress Maintenance
Managed WordPress Hosting does not include ongoing theme or plugin update management as part of the standard service. Server-level security, monitoring, and configuration are managed by Oxaver. Clients are responsible for maintaining their WordPress installation, including theme and plugin updates.
7. Acceptable Use
7.1 Permitted Use
Oxaver services may only be used for lawful purposes and in accordance with these terms. You agree to use the services in a manner that does not infringe the rights of others or restrict their use of the services.
7.2 Prohibited Activities
You must not use Oxaver services to:
- Host, distribute, or transmit illegal content of any kind
- Send unsolicited bulk email or spam
- Launch denial-of-service attacks or engage in network abuse
- Mine cryptocurrency or run resource-intensive scripts not related to your website
- Host phishing pages, malware, or any malicious software
- Infringe the intellectual property rights of any third party
- Violate the terms of any third-party service or platform
- Attempt to gain unauthorised access to any system or network
Oxaver reserves the right to suspend or terminate services immediately in the event of a serious violation of these rules.
7.3 Resource Usage
Your use of server resources must remain reasonable and consistent with the nature of your plan. Sustained excessive resource usage that impacts server stability may result in a request to upgrade your plan or a temporary throttle on usage.
8. Uptime and Service Availability
8.1 Uptime Guarantee
Oxaver targets 99.9% server uptime on all Managed WordPress Hosting plans. This uptime target is measured monthly and excludes planned maintenance windows and events outside of our reasonable control.
8.2 Planned Maintenance
Oxaver may perform planned maintenance that temporarily affects service availability. Where possible, maintenance will be scheduled during low-traffic periods and you will be notified in advance.
8.3 Force Majeure
Oxaver is not liable for service interruptions caused by circumstances beyond our reasonable control, including but not limited to infrastructure provider outages, DDoS attacks of unusual scale, natural disasters, acts of government, or internet backbone failures.
9. Security
9.1 Security Responsibilities
Oxaver is responsible for server-level security, including firewall configuration, Fail2Ban, SSL/TLS certificates, and security patching as part of your plan.
You are responsible for the security of your own website application, including WordPress credentials, plugin integrity, and access management. Oxaver is not responsible for security breaches resulting from vulnerabilities in your website application, weak passwords, or compromised credentials.
9.2 Security Incidents
If you believe your server or website has been compromised, you must notify Oxaver immediately through the Support page. We will investigate and respond as quickly as reasonably possible.
10. Data and Backups
10.1 Client Responsibility
While Oxaver provides backup services, you remain ultimately responsible for maintaining your own copies of important data. Oxaver’s backup service is provided as a convenience and is not a substitute for your own data protection measures.
10.2 Data Loss
Oxaver is not liable for any data loss arising from server failure, software errors, accidental deletion, or other causes, except where such loss is directly caused by Oxaver’s gross negligence or wilful misconduct.
10.3 Data on Cancellation
Upon cancellation of your service, you are responsible for retrieving your data before the service is terminated. Oxaver will not retain your data after the service end date.
11. Intellectual Property
11.1 Oxaver Content
All content on the Oxaver website, including text, design, graphics, and documentation, is the property of Oxaver or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written permission.
11.2 Client Content
You retain ownership of all content, data, and files hosted on your server. By using our services, you grant Oxaver a limited licence to access, process, and store your content solely for the purpose of delivering and maintaining your hosting services.
12. Limitation of Liability
12.1 Service Limitation
Oxaver’s liability for any claim arising out of or related to these terms or the services shall be limited to the total amount paid by you to Oxaver in the three months preceding the claim.
12.2 Exclusion of Consequential Damages
Oxaver is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or loss of goodwill, even if we have been advised of the possibility of such damages.
12.3 No Warranty
Services are provided on an “as is” and “as available” basis. Oxaver makes no warranties, express or implied, regarding the services, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, except where required by applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Oxaver and Oxacor from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with:
- Your use of the services
- Your violation of these Terms and Conditions
- Your violation of any applicable law or regulation
- Any content hosted on your server
14. Third-Party Services
Oxaver uses third-party providers including infrastructure providers, server management platforms, and email delivery services to operate our business. We are not responsible for the availability, reliability, or actions of these third-party services beyond what is within our reasonable control. Any service disruption caused by a third-party provider will be communicated to you as quickly as possible.
15. Governing Law and Disputes
These Terms and Conditions are governed by and construed in accordance with applicable law. Any disputes arising from these terms or the services will be resolved in good faith through direct communication in the first instance. If a dispute cannot be resolved amicably, you agree to pursue resolution through the appropriate legal channels.
16. Changes to These Terms
Oxaver may update these Terms and Conditions from time to time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify active clients by email. Continued use of our services after any changes constitutes your acceptance of the updated terms.
We encourage you to review these terms periodically.
17. Severability
If any provision of these Terms and Conditions is found to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these terms. The remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms and Conditions, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Oxaver regarding your use of our website and services. They supersede any prior agreements, representations, or understandings between the parties.
